GENOME EXPLORER
            
We, BaseClear B.V. ('BaseClear') have developed the Genome Explorer.

The Genome Explorer allows you to mine and compare genomes in an easy and intuitive manner. The Genome Explorer is accessible via https://genome-explorer.com and has been optimized for Chrome, yet most features are supported on Firefox and Internet Explorer (version 9 and higher).
You may access the Genome Explorer as a user upon acceptation of these Terms of Use.

1. If you are indicated as a 'user' by one of BaseClear Clients, with which Client BaseClear entered into the License and Support Agreement for use of the Genome Explorer, BaseClear will provide you with an account and password. 
You may not share your account information, except with other authorized users within your company or organization, if your company or organization entered into the applicable License and Support Agreement with BaseClear).

2. BaseClear may grant you access to the Genome Explorer and indicate you as a 'user' on an individual basis. 
BaseClear will provide you with an account and password. You are not allowed to share your account information in any way. 
BaseClear is entitled to terminate your individual access to the Genome Explorer for any reason. 
For renewed access to your account, BaseClear may request that your company or organization enters into the applicable License and Support Agreement with BaseClear.

3. You are responsible for all activity that occurs via your account. Please notify us immediately if you become aware of any unauthorized use of your account.

4. BaseClear (and our licensors) remains the sole owner of all right, title, and interest in the Genome Explorer. 
We reserve all rights not granted under these terms.

5. You will use the Genome Explorer responsibly. You will not misuse the Genome Explorer or data that we provide to you as part of the Genome Explorer. 
For example, you will not: (a) copy, modify, host, stream, sublicense, or resell (parts of) the Genome Explorer, data or content within the Genome Explorer; (b) enable or allow others to use the Genome Explorer or data using your account information, except as provided for in these Terms of Use; (c) access or attempt to access the Genome Explorer by any means other than the interface we provided or authorized; (d) circumvent any access or use restrictions put into place to prevent certain uses of the Genome Explorer; (e) engage in behavior that violates anyone's Intellectual Property Right ('Intellectual Property Rights' means copyright, moral rights, trademark, trade dress, patent, trade secret, unfair competition, right of privacy, right of publicity, and any other proprietary rights.); (f) upload or share any content that is unlawful, harmful, threatening, abusive, tortious, defamatory, libelous, vulgar, lewd, profane, invasive of another's privacy, or hateful; (g) attempt to disable, disrupt, impair, or destroy the Genome Explorer, data or content; (h) violate applicable law.

Disclaimers of Warranties

6. The Genome Explorer is provided 'AS-IS'. 
To the maximum extent permitted by law, BaseClear disclaims all warranties express or implied, including the implied warranties of non-infringement, merchantability, and fitness for a particular purpose.

7. BaseClear makes no commitments about the data or content within the Genome Explorer. 
BaseClear further disclaims any warranty that: (a) the Genome Explorer will meet your requirements or will be constantly available, uninterrupted, timely, secure, or error-free; (b) the results that may be obtained from the use of Genome Explorer will be effective, accurate, or reliable; (c) the quality of the Genome Explorer will meet your expectations; or that (d) any errors or defects in the Genome Explorer will be corrected.

8. We specifically disclaim any liability for any actions resulting from your use of the Genome Explorer.
You may use and access the Genome Explorer at your own discretion and risk, and you are solely responsible for any damage to your computer systems or loss of data that results from the use and access of the Genome Explorer.

Termination.

9. You may stop using the Genome Explorer at any time. There may be a Client's group administrator for your account. 
Group administrators may terminate a user's access to the Genome Explorer at any time. 
Your decision, or the decision of your group administrator, to stop use of the Genome Explorer does not affect the Client's obligation to pay any applicable license and support fees.

10. We may at any time terminate your access to the Genome Explorer if you: (a) breach any provision of these terms of use (or act in a manner that clearly shows you do not intend to, or are unable to, comply with these terms); (b) we are required to do so by law (for example, where the provision of the Genome Explorer to you is, or becomes, unlawful); (c) we elect to discontinue the Genome Explorer, in whole or in part, (such as if it becomes impractical for us to continue offering Genome Explorer in your region due to change of law); or (d) there has been an extended period of inactivity in your account.

Security.

11. To enhance the server security and data integrity the following measurements have been taken: (i) The server-client connection is always secured through a company certified SSLconnection protocol (https); (ii) All passwords are encrypted and issued by BaseClear; (iii) User sessions are linked to the user's IP-address to which a private database connection is assigned.

Miscellaneous.

12. Disclosure. We may access or disclose information about your account, or your use of the Genome Explorer, (a) when it is required by law (such as when we receive a valid subpoena or search warrant); (b) to respond to your requests for support; or (c) when we, in our discretion, think it is necessary to protect the rights, property, or personal safety of us, our users, or the public.

13. Modification. We may modify these terms or any additional terms that apply to use of the Genome Explorer, data or content to, for example, reflect changes to our services or software. 
You should look at the terms regularly. We will post notice of modifications to these terms on our website. 
We will also post notice of modified additional terms in Genome Explorer. By continuing to use or access the Genome Explorer after the revisions come into effect, you agree to be bound by the revised terms.

14. We may notify you by e-mail, postal mail, through our website, other legally acceptable means, or postings within the Genome Explorer.
